Terms and Conditions for Agentpesa (AI Banking App)

These Terms and Conditions are issued by Skite Technologies Ltd, the parent company and operator of the Agentpesa platform (“Agentpesa”, “we”, “our”, or “us”). Skite Technologies Ltd is a registered company in Nigeria (RC 8815542) and is fully responsible for the operation, management, and compliance of the Agentpesa mobile application and its related financial services.

Welcome to Agentpesa, your intelligent financial companion. These Terms and Conditions (the "Terms") govern your access to and use of the Agentpesa mobile application, including its AI chatbot and voice chat functionalities (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Agentpesa Service, you represent that you have read, understood, and agree to be bound by these Terms and any future amendments, and to abide by all applicable laws and regulations.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your password and any other credentials used to access your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.
You must notify Agentpesa immediately of any unauthorized use of your account.
Agentpesa employs biometric authentication (Fingerprint, Face ID) as an optional security feature. Your biometric data is stored securely on your device, not on our servers.

4. Use of the Service

Permitted Use: The Service is provided for your personal, non-commercial use to manage your finances, perform transactions, and interact with our AI assistant.
Prohibited Conduct: You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Service.
- Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
- Use the AI chatbot or voice chat for any abusive, harassing, defamatory, or obscene communication.
- Reverse engineer, decompile, or disassemble any part of the Service.
Voice and Chat Interactions: All interactions with the AI chatbot and voice chat are recorded and stored for processing your requests, improving the service, and for security/compliance purposes as detailed in our Privacy Policy.

5. Financial Transactions

All transactions conducted through the Service are subject to the terms and conditions of the respective financial products and services, as well as applicable laws and regulations (e.g., Central Bank of Nigeria, NDIC).
You are solely responsible for the accuracy of transaction details (e.g., recipient details, amounts) provided via the app, chatbot, or voice commands. Agentpesa will not be liable for losses arising from incorrect details provided by you.
Transaction limits (e.g., daily send, airtime) are set by Agentpesa and may be subject to customization where permitted.
Agentpesa may block or flag suspicious activities as per your "Auto-Block Suspicious Activity" settings for your security.

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to, software, design, text, graphics, logos, trademarks, and the AI models, are owned by Agentpesa or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use, strictly in accordance with these Terms.

7. Disclaimers and Limitation of Liability

No Warranties: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Agentpesa does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
Limitation of Liability: To the fullest extent permitted by applicable law, Agentpesa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; and (d) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Agentpesa has been informed of the possibility of such damage.

8. Indemnification

You agree to indemnify and hold harmless Agentpesa, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

9. Termination

Agentpesa may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact customer support.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in any state of the country to resolve any dispute arising out of these Terms or the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
